Terms of Service
Version 1 · Last updated September 1, 2026
This document is a working draft pending review by our legal counsel. It describes how Clovina Health operates today, but it is not yet a final legal agreement.
These terms govern use of the Clovina Health platform by agencies and their users. By creating an account or using the software, you agree to them.
1. The service
Clovina Health provides web-based software for scheduling, electronic visit verification, care plans, clinical documentation, compliance tracking, billing, and family and caregiver access. We provide software; we do not provide healthcare, staffing, billing, or legal services, and we do not make clinical decisions.
2. Accounts and eligibility
You must be an authorized representative of a licensed or otherwise lawfully operating home health or home care agency. You are responsible for the accuracy of the account information you give us, for every user you create, and for keeping credentials confidential. Accounts are personal — logins must not be shared between people.
3. Plans, seats, and billing
Subscriptions are sold on monthly plans with a caregiver seat limit per plan. Fees are billed in advance each month and are non-refundable except where required by law. If your active caregiver count exceeds your seat limit, we will ask you to upgrade; continued overage may result in feature limits. We may change prices with at least 30 days' notice, effective at your next renewal.
4. Trials and cancellation
Trials, where offered, convert to a paid subscription unless cancelled before the trial ends. You may cancel at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate an account for non-payment, unlawful use, or a material breach of these terms, after notice where practical.
5. Your data and your responsibilities
You retain ownership of all data you enter. You grant us the limited right to host and process it to provide the service. You are responsible for:
- the accuracy and completeness of clinical, scheduling, and billing records;
- confirming that visit verification records, claims, and exports meet the requirements of your state, payers, and aggregators before you submit them;
- obtaining consents required from clients, families, and caregivers, including consent to location capture at clock-in and clock-out;
- your own licensure, credentialing, supervision, and regulatory compliance.
Clovina Health is not responsible for claim denials, audit findings, survey results, or payment outcomes.
6. Acceptable use
Do not use the platform to store data unrelated to the delivery of care, to reverse engineer or resell the service, to interfere with its operation or security, to upload malicious code, or to violate any law, including HIPAA and state privacy laws.
7. Availability and support
We aim for continuous availability but do not guarantee uninterrupted service. Planned maintenance will be announced in advance where practical. Support is provided by email at support@clovinahealth.com during business hours.
8. Third-party services
Payment processing, accounting sync, email delivery, and state EVV submission may involve third-party services subject to their own terms. We are not responsible for those services' availability or acts.
9. Confidentiality and HIPAA
Each party will protect the other's confidential information. Where we handle protected health information on your behalf, our business associate obligations and the HIPAA statement apply and control in the event of a conflict with these terms.
10. Warranties and liability
The service is provided "as is" without warranties of any kind to the fullest extent permitted by law. To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the fees you paid us in the 12 months before the event giving rise to the claim. Nothing here limits liability that cannot be limited by law.
11. Termination and data export
On termination you may request an export of your data in a machine-readable format. We will make it available for 30 days after termination and then delete or de-identify agency data as described in the Privacy Policy.
12. Changes to these terms
We may update these terms and will post the revision here with a new effective date. Material changes take effect at your next renewal or 30 days after notice, whichever is later.
